Welcome to Homes.bid. This website and its associated services (collectively, the "Platform") are owned and operated by Bid Sales Technologies Corporation, a Texas corporation doing business as "Homes.bid" ("Company", "we", "us", or "our").
Please read these Terms of Use ("Terms") carefully. By accessing, browsing, or using the Platform, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must immediately cease using the Platform.
1. PLATFORM NATURE AND SCOPE OF SERVICES
- Bidding Software Only: Homes.bid is strictly a technology and online bidding software provider. The Platform facilitates a venue for sellers, buyers, and brokers to interact regarding property listings and online bidding events.
- Not a Real Estate Brokerage: Bid Sales Technologies Corporation is not a licensed real estate brokerage in the State of Texas or any other jurisdiction.
- No Real Estate Services: The Company does not act as a real estate agent, broker, or fiduciary for any user. We do not provide real estate advice, evaluate property values, draft legally binding purchase contracts, or represent parties in a transaction. Any real estate transactions initiated or facilitated through the Platform are strictly between the buyer, seller, and their respective licensed real estate professionals.
2. BIDDER ELIGIBILITY AND REGISTRATION
To participate in any online bidding events on the Platform, users must register an account and comply with verification standards based on their professional licensing status:
- Licensed Real Estate Professionals: Bidders who hold a current, active, state-issued real estate license must provide their valid credentials (e.g., Texas Real Estate Commission (TREC) license number) during registration to bypass standard verification deposits.
- Unlicensed/Public Bidders: Bidders who are not state-licensed real estate professionals are subject to secondary anti-spam verification.
- Upfront Deposit Authorization Required: To filter out spam bidders and ensure bidding integrity, all unlicensed bidders must provide an upfront deposit authorization (via credit card hold or other designated financial mechanism) prior to placing any bids. This authorization is not a direct charge, but a verification hold that will be released or applied based on bidding outcomes.
3. FEES AND BUYER’S PREMIUM
- Buyer's Premium Fee: All winning bids accepted on the Platform are subject to a Buyer’s Premium fee. The exact percentage or flat fee amount of the Buyer’s Premium will be clearly stated within the specific property listing details or bidding event rules.
- Addition to Purchase Price: The Buyer's Premium is an administrative fee charged by the Company for the use of the bidding platform. It is added to the final accepted bid amount to calculate the total contract purchase price, and is earned at the conclusion of the bidding event.
- Payment Terms: Winning bidders agree to pay the Buyer's Premium in accordance with the specific transaction instructions, usually at closing or via escrow allocation.
4. BIDDING TERMS AND PLATFORM INTEGRITY
- Binding Intent: Placing a bid constitutes a firm, binding offer to purchase the subject property. Bids cannot be retracted once submitted.
- Platform Availability: While we strive to maintain uninterrupted access to our bidding software, the Company is not responsible for technical glitches, network latency, or missed bids resulting from internet connectivity issues on the user’s end.
- Anti-Spam and Abuse: The Company reserves the right, in its sole discretion, to reject, suspend, or terminate any account or bid that shows signs of fraudulent activity, automated script use, or violation of these Terms.
5. REGULATORY & LEGAL COMPLIANCE
- Fair Housing Compliance: All properties listed and bids accepted via the Platform must comply with the Federal Fair Housing Act and the Texas Fair Housing Act. The Platform strictly prohibits discriminatory advertising or behavior.
- Independent Contracting: Users acknowledge that transaction contracts, disclosure forms, and legal agreements must be handled through licensed real estate agents, legal counsel, or directly between principals as permitted under Texas Real Estate License Act (TRELA) guidelines.
6. LIMITATION OF LIABILITY & DISCLAIMER OF WARRANTIES
- "As-Is" Platform: The Platform is provided on an "as-is" and "as-available" basis. We make no guarantees regarding the accuracy, completeness, or physical condition of any real estate properties listed on the Platform by third-party sellers.
- No Transaction Liability: The Company assumes no responsibility for a party's failure to close a transaction, breach of contract, or title defects. Under no circumstances will Bid Sales Technologies Corporation be liable for any indirect, incidental, or consequential damages arising out of your use or inability to use the bidding software.
7. GOVERNING LAW AND VENUE
These Terms, and any disputes arising from or relating to your use of the Platform, shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal action or proceeding relating to these Terms shall be instituted exclusively in a state or federal court of competent jurisdiction located in Texas.
